Convert from Mixed Mode to Native Mode

I have a Win2K domain with (4) DC's, and (2) Exchange 2K servers. The
domain is currently running in mixed mode as are the Exchange servers.
We do not have any NT4 DC's (and have not for years) nor do we have any
Exchange 5.5 servers. I do have a handful of downlevel clients; i.e.
Win98/NT4.

I'm going to be replacing servers later this year and moving to
Win2K3/Exchange 2K7. I am trying to clean up the security permissions on
files/folders first as they are a mess. I want to have nested global
security groups, which requires that AD be in Native mode.

1 - If I convert my Win2K domain from mixed mode to native mode, are
there any problems that I am likely to encounter?

2 - After converting my domain, I will then convert my Exchange 2K
servers to native mode. Again, are there any things that I need to watch
out for/be aware of?
